Business Structure (LLC)
In a Limited Liability Company, the owners have limited liability for the actions and debts of the company.
- LLC’s are recognized as separate legal entities. This means that the members of the company are protected from debts and other things associated with the company. The member that has invested anything will be liable for those investments only.In a partnership, members share all liability for debts, obligations, etc. (no bueno).
- LLC’s and Partnerships are treated similar for tax purposes.
- An LLC can elect to be taxed as a sole proprietor, partnership, S corporation or C corporation, providing much flexibility.
- When establishing an LLC, you are required to create Articles of Incorporation, when setting one up via a lawyer or the link provided, this is taken care of in an easy process of “filling in the blank”.
- The corporation’s name
- the Board of directors
- Whether the corporation is a stock corporation or a non-stock corporation
- Whether the corporation’s existence is permanent or limited for a specific period of time
- state the purposes for which it is formed
- whether it is for profit or non-profit
- If a stock corporation, the number of shares the corporation is authorized to issue, or the maximum amount in a specific currency of stock that may be issued, e.g. a maximum of $25,000
- The number and names of the corporation’s initial Board of Directors (optional)
- The initial director(s) of the corporation
- The location of the corporation’s “registered office” - the location at which legal papers can be served to the corporation if necessary.

I have done this myself and feel very confident in running an LLC. The state of Florida allows me to do this solely, but other states don’t and would require a board of directors just like you would operate any other corporation. Regardless of who you are doing business with, a Partnership has too many faults and liability issues. It’s best to play it safe and do yourself a favor by establishing an LLC.
